Management

Mr. du Peloux was named President and Chief Executive Officer of Veolia Energy North America in July 2011. As an executive for the Veolia Environnement group of companies since 2002, Mr. du Peloux has previously served as a CEO in both Veolia's waste management and transportation divisions. He has also served as a member of the management board of Veolia Environnement. In total, Mr. du Peloux has served as a senior executive at multiple companies, and in multiple industries, for more than twenty-five years.

From 2007-2011, Mr. du Peloux was CEO of Veolia Transport, and served as Chairman of the French Union of Public Transport from 2009-2011. Prior to his transition to Veolia Transport, Mr. du Peloux spent five years as CEO of Veolia Environmental Services in Northern Europe and the United Kingdom.

Before joining Veolia Environnement, Mr. du Peloux enjoyed a career in multiple industries. From 1999-2002, he served as COO of Bull and CEO of Bull Services in France, companies that design, implement and run information technology solutions for public and private sector organizations. From 1992-1999, Mr. du Peloux worked for Lyonnaise Des Eaux, serving as Chairman and CEO of Lyonnaise Communications (cable television networks) and as CEO of TPS digital satellite television. From 1985-1992, Mr. du Peloux was an executive at Bouygues, a large French industrial company, with operations in telecom/media services and new construction businesses. At Bouygues, he served first as head of the development department, and then as Deputy CEO of TF1 television. Prior to these positions, Mr. du Peloux served as COO of CDF-Energy at Charbonnage de France for one year, and also spent five years working in the Department of Energy at the French Ministry of Industry.

Mr. du Peloux earned degrees in Engineering at Ecole Polytechnique and at Ecole des Ponts et Chaussees, with both institutions located in Paris, France.

William "Bill" DiCroce was named Chief Operating Officer of Veolia Energy North America in September 2009, and Executive Vice President in May 2011. In this capacity, Mr. DiCroce is responsible for the company's operational and financial performance, as well as being charged with driving the company's growth within the U.S. market. He joined Veolia Energy North America as Senior Vice President - East Region in June 2008.

Before joining Veolia Energy, Mr. DiCroce was the President and Chief Operating Officer of NSTAR Electric and Gas Company's unregulated subsidiaries, which owned and operated a private utility (Medical Area Total Energy Plant, Inc.- MATEP), as well as other district energy and telecommunication businesses located in the greater Boston, Massachusetts area. In this position, he was credited with the turn-around of the MATEP's financial performance and growth potential.

Mr. DiCroce began his career with General Electric at the Knolls Atomic Power Laboratory, which is associated with the U.S. Naval Nuclear program. He was jointly certified by U.S. Naval Reactors and Knolls as a nuclear power engineer. He continued his work in the commercial nuclear industry with Boston Edison and Entergy, initially licensed by the U.S. Nuclear Regulatory Commission as a Senior Reactor Operator, and then progressing through a series of critical management positions to General Manager of Plant Operations. During his employment with Boston Edison, Mr. DiCroce was credited with playing a critical role in radically improving the federal government's safety rating of Pilgrim Nuclear Power Station. He also served on the staffs of both Entergy Nuclear's CEO and the President of its newly acquired "Nuclear Northeast" fleet.

Mr. DiCroce earned a Master's Degree in Business Administration (MBA) at Boston University, and a Bachelor of Science degree in Marine Engineering at the Massachusetts Maritime Academy.

Mr. DiCroce served on the Board of Directors of NSTAR's unregulated subsidiaries. At the Massachusetts Maritime Academy, he served on the curriculum advisory council, and was an adjunct professor for nuclear power technology.

Jason Salgo was named Chief Financial Officer in January 2011. In this capacity, he is responsible for leading all finance, accounting, control, reporting, treasury, project financing, project evaluation and risk management activities. Prior to this position, Mr. Salgo had been Vice President of Finance for Veolia Energy North America since 2009, and Vice President & Treasurer of The Trigen Companies, a Veolia Energy subsidiary, since May 2006.

Mr. Salgo has more than 10 years of experience in the energy and finance area. Prior to joining Trigen, he was most recently Vice President - Finance for Calpine Corporation. As Vice President at Calpine, Mr. Salgo performed the analysis of risks and benefits of new investment opportunities for the company, financing for power generation facilities, and working with Accounting and Treasury Groups on compliance and cash management for several subsidiary entities. At Calpine, Jason played a critical role in the execution of more than $5 billion in capital market and debt transactions.

Before joining Calpine, Mr. Salgo was a Manager for Generation Ventures Associates (GVA), a power generation developer. At GVA, he was an integral member of the development team for several proposed large-scale international power generation projects. Mr. Salgo was also responsible for training and mentoring new hires in project finance and financial modeling.

Mr. Salgo has a Master's Degree from the London School of Economics, and graduated from Tufts University in 1992.

Jeff Perry was named Chief Development Officer of Veolia Energy North America in March 2011. In this capacity, Mr. Perry is responsible for the company's business development, marketing, and external affairs within the U.S. market.

Before joining Veolia Energy, Mr. Perry spent 12 years at GenOn Energy (formerly Mirant Corporation), where he served as a corporate Vice President, and as the President of the company's New York and New England asset-owning companies, which owned more than 2,600 megawatts of electric generating capacity.

Mr. Perry began his career with Commonwealth Electric Company (now NSTAR Electric), where he spent 14 years. While at the company, he lead their Electric Supply Administration department. In this capacity, Mr. Perry was responsible for the company's wholesale power supply procurement, wholesale electricity supply portfolio management, and short and intermediate-term bulk power trading and marketing functions. In addition, Mr. Perry testified and sponsored exhibits for various regulatory proceedings pertaining to power supply issues. Mr. Perry also represented the company on various New England Power Pool committees and task forces, including the Executive Committee.

Mr. Perry has served as Chairman of the Competitive Power Coalition, and was a Board Member of the Independent Power Producers of New York, the New England Power Generators Association, and the Northeast Energy and Commerce Association. Mr. Perry is also a member of the Massachusetts Bar and of the Federal Energy Bar Association.

Mr. Perry earned a Bachelor's Degree at Boston University, and a Juris Doctor Degree at the University of Massachusetts Dartmouth School of Law.

In June 2010, Vincent Martin was appointed President of SourceOne, a subsidiary of Veolia Energy North America. His focus has been to develop and lead the company to greater growth, and to scale SourceOne's solutions to multiple markets across the nation.

Mr. Martin began his career at Veolia Energy in September 1995. From 2001 to 2008, he served as the Corporate Technical Director for Dalkia, specifying and implementing Dalkia's technical policy. Mr. Martin contributed to Dalkia's Business Development by participating in major projects and acquisitions, and he also contributed to the definition of Veolia Energy's Research and Development programs. In early 2008, he joined Veolia Energy North America as Chief Technical Officer (CTO), and held the CTO position until joining SourceOne in 2010.

Prior to joining Veolia Energy, Mr. Martin worked for GEC ALSTOM, where he took part in the design and commissioning of coal fired power plants in France and China. Prior to GEC ALSTOM, he began his career as an officer with the French Navy's boat patrol based in Guyana.

Robert Arendell was appointed Vice President and General Counsel in April 2011. In this role, Mr. Arendell manages the legal aspects of acquisitions and divestitures, and directs overall legal support for the company's risk management, business development, human resources, finance, and accounting functions, as well as the company's operations.

Mr. Arendell joined Veolia Energy in February 2008 as Associate General Counsel, after six years with Veolia Water; his most recent position there as Regional General Counsel for the Northeast Region, including New England, New York and Delaware. While at Veolia Water, Mr. Arendell engaged in complex contract drafting and negotiation with various commercial and municipal entities, in addition to litigation management, human resources support and internal investigations. Prior to joining the Veolia family, Mr. Arendell was in private practice concentrated on commercial and securities litigation and federal criminal defense work.

Mr. Arendell received his Juris Doctorate from the Boston University School of Law and is an honors graduate of Colby College.

Bette Jacques was named Vice President of Human Resources in September 2009. In this capacity, Ms. Jacques is responsible for the Human Resources (HR) function for Veolia Energy North America.

Ms. Jacques joined the company as Director of Human Resources in November 2007 with a depth of HR and business knowledge from the engineering and manufacturing industries. She was with ABB Combustion Engineering in the Power Generation segment, where she was responsible for the HR function, including labor relations. Ms. Jacques has also served in the HR Director role in multi-unit and global organizations in the automotive, high-tech and direct marketing industries.

Ms. Jacques graduated from Southern New Hampshire University with a Bachelor of Science degree in Business Studies, and received the Senior Professional in Human Resources certification from the Society of Human Resource Management (SHRM).

Yoon Chae was appointed Chief Technical Officer in June 2010. In this capacity, he is responsible for the Engineering function, as well as the operations in Boston and Cambridge. Mr. Chae joined Veolia Energy North America as Vice President of Engineering in 2009. Mr. Chae has been employed by Veolia since 1988.

Prior to joining Veolia Energy, Mr. Chae was with the Veolia Environmental Services Waste-to-Energy (WTE) division where he was Senior Vice President for 10 years and contributed to the improved profitability and growth of the division to a nationally ranked WTE company. Before attaining that position, Mr. Chae held facility manager positions at four of the company's Waste-to-Energy facilities.

Mr. Chae began his career in the pulp and paper sector, specializing in operations and maintenance of utilities department consisting of large boilers and turbine generators. He has 30 years of experience in power plant operations and energy related businesses.

Mr. Chae earned a Chemical Engineering degree at the University of Florida.

Steve Marcolini was named Chief Information Officer in December 2011, after having joined Veolia Energy North America in October 2008 as the Senior Director of Information Technology. In this capacity, Mr. Marcolini directs, plans and manages the company's Information Systems function to ensure the development and implementation of computer operations that meet the company's current and future requirements. He is responsible for identifying and recommending the best long-term direction for the technology functions, and works with the staff to translate approved strategic plans into more specific three-year plans and one-year operating budgets. 

Mr. Marcolini has more than twenty-five years of experience in the Information Technology field. He has a wealth of experience leading the implementation and upgrading of large scale Enterprise Resource Planning (ERP) projects from tier-1 providers. He has played an integral role in ensuring IT Sarbanes Oxley compliance, and aligning the company and IT missions.

Mr. Marcolini graduated from Providence College with a Bachelor of Science degree in Business Management, and received his MBA from Bryant College.

In addition to his ongoing responsibilities in the law department of Veolia Energy North America, Lawrence Plitch was named Vice President, Government Affairs & Energy Policy, in February 2009 in recognition of his advocacy role for the Company regarding the emerging and increasingly important laws and regulations surrounding climate policy in the USA. As Vice President and General Counsel of the Trigen Companies from December 2004 through January 2009, Mr. Plitch served as the chief legal officer for Thermal North America's (TNAI) district heating and cooling subsidiaries in 11 cities throughout the U.S.A.

Mr. Plitch has over 25 years of experience working on the legal and regulatory issues surrounding the electric power and thermal energy industries. As Vice President and General Counsel of Wheelabrator Technologies Inc. from 1986 to 1999, Mr. Plitch directed 11 professionals in the Legal and Government Affairs Departments for a company that developed, owned and operated 25 renewable, waste-to-energy and cogeneration facilities, with 900 megawatts in electric capacity, 2 million Mlbs of annual steam production and $1 billion in annual revenues.

From 1999 through 2004, Mr. Plitch was a principal in a boutique Boston law firm specializing in renewable energy and distributed generation project development, president of a wind energy project development company with 15 MW of wind farms under active development in Massachusetts, and CEO of FERC-licensed power marketing firm.

Mr. Plitch earned a Juris Doctor degree at Franklin Pierce Law Center, Concord, NH, and a Bachelor of Arts degree at Rutgers University, New Brunswick, NJ.

Michael Smedley was named Vice President of the Mid-Atlantic Region in August 2009. In this position, Mr. Smedley oversees Veolia Energy's operations in the states of Delaware, New Jersey, New York, Ohio and Pennsylvania. As part of his regional responsibilities, Mr. Smedley is the General Manager of the Veolia Energy-Philadelphia and Veolia Energy-Trenton business units, responsible for their financial performance and safe and reliable daily operations.

Mr. Smedley joined the Trigen Energy subsidiary purchased by Veolia Energy in 2007 more than 19 years ago as a cooperative engineer and held a variety of assignments, each with an increased role of responsibility. Areas of responsibility have included plant operations, environmental compliance, business development, construction management and business unit P&L.

Mr. Smedley has held the position of Vice President and General Manager for three different cogeneration facilities over the past 12 years. He holds a BS degree in mechanical engineering from Temple University and an Executive MBA from The Kellogg School of Management.

Keith Oldewurtel was appointed Vice President, Central and West Regions in July 2010. In this position, Mr. Oldewurtel is responsible for existing operations in Grand Rapids, Houston, Kansas City, Las Vegas, Los Angeles, Oklahoma City, St. Louis, and Tulsa, and all new operations in the central and western USA.  Mr. Oldewurtel joined Veolia Energy in the fall of 2008 as Vice President and General Manager in Grand Rapids, when Veolia Energy purchased the district heating and cooling operation there from Kent County, Michigan.

Mr. Oldewurtel has 24 years of utility design, build, operation and maintenance experience gained from his prior position as Senior Vice President, North America Contract Operations Division of Earth Tech, a worldwide engineering company. There, he was successful in business growth, contract strategy and negotiation, team and leadership development, and financial performance. He also earned the 2008 Earth Tech Leadership Excellence Award recognizing safety and environmental performance.

Mr. Oldewurtel graduated from Bay College with a degree in Water Purification Technology, has authored several trade journal articles and contributed chapters for books on privatization of municipal utilities.

Scott McBurney is the Vice President of the Northeast Region, and General Manager of the Veolia Energy-Boston business unit. Prior to joining Veolia Energy in 2009, he was responsible for the operation of the MATEP (Medical Area Total Energy Plant) cogeneration plant in Boston, MA. MATEP serves the critical energy needs of the premier research and healthcare institutions of the Longwood Medical Area in Boston, MA. Mr. McBurney served at MATEP in the roles of Engineering Manger, Director of Operations and General Manager.

During his time at MATEP, Mr. McBurney oversaw the engineering, construction and commissioning of a 24-MW dual-fuel fired cogeneration plant. Mr. McBurney also has more than 5 years of experience with Siemens Building Technologies, identifying and implementing energy savings in large commercial buildings, providing turnkey mechanical services, and implementing building automation systems.

Prior to his work at Siemens Building Technologies, Mr. McBurney provided technical and marketing support for Carrier Air Conditioning in the application of large centrifugal chillers and aftermarket services. Mr. McBurney earned a Bachelor of Science degree in Mechanical Engineering Technology from the Rochester Institute of Technology, and a Master of Business Administration (MBA) degree from Boston University.

John C. Gibson is the Vice President of Veolia Energy North America's South Region. Mr. Gibson was named the Vice President and General Manager of Veolia Energy's Baltimore operations in 2005 and added responsibility for Veolia's Atlanta operations in 2008.

Mr. Gibson joined Veolia Energy's Philadelphia business unit in August 1994 as a Marketing Engineer. He was promoted to Manager of Business Development in 1996, responsible for the expansion of non-core business. In 2001, Mr. Gibson became the Director of Marketing for Veolia Energy's Baltimore business unit.

Prior to joining the company, Mr. Gibson was employed by Aspen Systems Corporation, where he was responsible for the design and implementation of Demand Side Management programs for electric and gas utilities. Mr. Gibson also worked as a Project Engineer for Air Products and Chemicals Inc., and served in the Navy as a naval submarine warfare officer.

Mr. Gibson earned a Bachelor of Science Degree in Aeronautical Engineering from the Massachusetts Institute of Technology, and a Master's of General Administration from the University of Maryland.

Alexandre Visciglio was named Vice President, Finance in June 2011. In this position, he is responsible for management of all finance, accounting, control, reporting, treasury, project financing, project evaluation, and risk management activities. Prior to this position, Mr. Visciglio had served as Treasurer since February 2009. He moved to Boston in January 2008 and successfully led the financial integration of Veolia Energy North America businesses after the acquisition of Thermal North America, Inc. (TNAI) in December 2007.

Mr. Visciglio has been working in the Veolia Environnement group since 2001, serving in the Finance department at Veolia Environnement corporate headquarters, and at Veolia Water as Senior Financial Analyst.He was in charge of performance analysis, including return on capital employed for Veolia Water Europe, and was responsible for the presentation of Veolia Water's financial indicators to Senior Executive Management.

Mr. Visciglio earned a Master's degree in Business Administration at the Bordeaux Business School (BEM), with a focus in Corporate Finance.

Steven Weafer has been Controller with Veolia Energy North America since November 2008. In this capacity, Mr. Weafer is responsible for all accounting, financial reporting and internal control functions for Veolia Energy North America and its subsidiaries. Mr. Weafer has been instrumental in establishing processes, integrating systems and developing new reporting tools to analyze Company performance.

Prior to joining The Trigen Companies, a subsidiary of Veolia Energy, in 2006, Mr. Weafer spent over five years in the energy industry at Calpine Corporation. As Accounting Manager at Calpine, Mr. Weafer was responsible for the rollout, documentation, and implementation of Sarbanes-Oxley. In addition, Mr. Weafer was responsible for the accounting and financial reporting for over $1 billion of power facilities in construction and operation, in the northeast and southeast regions. Mr. Weafer began his career as a tax associate at PricewaterhouseCoopers in Boston.

Mr. Weafer graduated from Bentley College with a Bachelor of Science degree in Accountancy.

Mr. Mahoney joined the Company as Assistant General Counsel in March 2011. His responsibilities extend to all aspects of the Company's business development, risk management, contracting, and human resources functions. Previously, Mr. Mahoney served for several years as Senior Vice President, General Counsel and Secretary of The Penn Traffic Company, a publicly traded food retailer and wholesaler headquartered in Syracuse, New York.

He began his legal career at a large Boston law firm, before moving to in house roles for the New England Shaw's division of Albertson's Supermarkets, and then to C&S Wholesale Grocers, the largest food wholesaler in the United States. Mr. Mahoney has extensive experience representing large employers (including supermarket chains, universities, and global service providers) comprised of both union and non-union workforces. He earned a Bachelor's degree at Harvard College, cum laude, and a Juris Doctor degree at Boston University School of Law, magna cum laude.

Kevin Biernacki has been Director of Environmental Health & Safety (EHS) since October 2009. In this position, Mr. Biernacki is responsible for managing the firm's EHS compliance programs and corporate EHS management systems. He has spearheaded numerous cross-functional EHS initiatives including an extensive internal and external auditing program, greenhouse gas accounting program, pandemic planning process, and development of a corporate safety and health manual.

He has worked for 20 years in the EHS field, in particular for large global companies including Raytheon, EMC, and General Electric. His background includes a broad range of experience with OSHA and EPA law, along with in-depth knowledge of ISO 14001 and OHSAS 18001 having obtained certifications under both standards for EMC's manufacturing sites in the United States and in Europe.

Mr. Biernacki earned a degree in Chemical Engineering from WPI in 1987, and a Masters Degree in Public Communications from Syracuse University in 1998. In addition, Kevin has been a Certified Safety Professional since 1997, and serves as a Chairman with the American Society of Engineer's Greater Boston Chapter.

Brian Mueller was named Vice President of Business Development in July 2010. In this position, he is responsible for new business growth in the Midwestern United States. Mr. Mueller had been Director of Business Development - Northeast Region since November 2008, and joined the company as a Business Development Manager in January 2008.

Prior to joining Veolia Energy, Mr. Mueller held several different positions within Sodexo Facilities Management Services in operations, project management and sales.

Mr. Mueller earned Masters and Bachelors degrees in Mechanical Engineering at Clemson University, and he is also a Licensed Professional Engineer and Certified Energy Manager.

Rowan Sanders has been Director of Marketing and Communications since April 2007. In this position, Mr. Sanders is responsible for brand management, crisis communication, public relations, and internal communication. Prior to this position, Mr. Sanders oversaw a new print publication, Review of Allergy, Asthma and Immunology. Before that venture, he spent eight years in the electric utility industry in Texas at Texas-New Mexico Power Company (TNMP) and its affiliated retail electric provider, First Choice Power (FCP), which was formed to serve electric customers when the Texas market opened up to competition in 2002.

As a member of the FCP Senior Management team from 2001-2006, Mr. Sanders spearheaded Marketing, strategy, consumer acquisition, and internal consulting across a wide variety of cross-functional special projects. From 1997-2001, he performed financial and strategic analysis at TNMP in power supply and business development.

Mr. Sanders earned a Master of Management degree in E-Commerce at the University of Dallas (summa cum laude), a Master of Business Administration (MBA) degree at Texas Christian University, and a Bachelor's degree in English from McGill University in Montreal, Canada.
